Trustmarque Group and Ultima Business Solutions Enter Agreement to Merge

Trustmarque Group, a leading technology services partner, and Ultima Business Solutions, a premier managed services provider, have signed a definitive agreement to merge. Once completed, the merger will create one of the UK’s most powerful and comprehensive IT channel organisations. The transaction is expected to close in the coming weeks.

The technology services landscape is evolving rapidly, fuelled by rising demand for advanced technical expertise and end-to-end solutions to navigate increasingly complex digital environments. This merger directly addresses these challenges by combining two market leaders with complementary strengths and capabilities, forming a unified business equipped to meet the needs of customers across sectors.

Upon completion, the combined organisation will represent a transformative force in the UK IT market, with a projected Gross Invoiced Income (GII) of around £1 billion and a workforce exceeding 1,000 employees. This strategic integration will enhance innovation, agility, and market reach, positioning the group for accelerated growth, deeper customer relationships, and a shared mission to lead with purpose, scale, and performance.

The merged business will offer a fully integrated portfolio of expert-driven IT solutions and managed services, built on a foundation of proprietary intellectual property. Together, Trustmarque and Ultima will deliver end-to-end support for organisations across the UK—helping clients adapt, innovate, and achieve outstanding digital outcomes in a fast-changing market.

Collectively, the two firms bring almost forty years of experience serving both UK and international clients across the IT channel, from FTSE 100 corporations to critical areas of the UK Government.

The combined customer base will exceed 3,000 organisations, operating across seven UK and international locations. The unified group will also maintain strategic partnerships with leading global technology providers, including Microsoft, Cisco, IBM, Hitachi Vantara, HP, Palo Alto Networks, and Citrix.

Simon Williams, CEO Trustmarque, said:

“Together, we are a powerhouse for managed services and digital innovation across the UK and globally. This merger brings together complementary strengths to create greater value for our people and our clients. Building on Trustmarque’s strong Microsoft and Cisco heritage, we are combining the breadth of services and scale needed to deliver, with the depth of expertise and experience that comes from our united teams.

This gives us more opportunities to anticipate our clients’ needs, stay ahead of changes in their industries and unlock new opportunities together.”

Jamie Beaumont, CFO Ultima, said:

This is a major milestone in our growth strategy. From the outset, it has been clear that there is exceptional complementarity between Trustmarque and Ultima, with the potential to combine scale with specialist expertise. Together, we offer a comprehensive, integrated range of services and support, delivered by exceptional talent that our customers rightly value. Our immediate priority is to complete the transaction and ensure a smooth transition in the coming months for all our customers and partners, while unlocking the full potential of the group.”

Simon Williams will become the group’s Chief Executive Officer, with Jamie Beaumont as Chief Financial Officer, supported by an integrated leadership team.

Trustmarque and Ultima will continue to operate as separate businesses until completion.

The proposed merger will continue to be supported by the private equity firms One Equity Partners (www.oneequity.com) and Apse Capital (www.apsecapital.com), underscoring their ongoing commitment to the strategic growth and long-term success of the combined organisation.
